PREPAID SERVICE CREDIT TERMS

These Prepaid Service Credit Terms ("Credit Terms") govern the purchase, receipt, and use of any prepaid credits redeemable for services provided by Theai, Inc. dba Inworld AI ("Company," "we," "us," or "our"). These Credit Terms form part of the agreement between you or the organization, company, or other legal entity that you represent ("Customer," "you," or "your") and the Company that links to or otherwise references these Credit Terms (the "Agreement"). Capitalized terms used but not defined herein shall have the meanings set forth in the Agreement.
1. Types of Credits
(a) Prepaid Usage Credits. Unless otherwise agreed to between Customer and the Company, the Company may require Customer to prepay for certain Services by purchasing credits sufficient to cover Customer’s anticipated usage according to the applicable pricing page, as may be updated from time to time (“Usage Credits”). Usage Credits represent the monetary amount Customer has paid in advance for use of the applicable Services. Customer’s order for Usage Credits constitutes an offer to purchase those Usage Credits. The Company will notify Customer upon acceptance of such order (the “Confirmation Notice”). Additional terms may apply to specific Services.
(b) Promotional Credits. The Company may, in its sole discretion, offer Customer free credits as part of a promotional program, trial period, or during sign-up for the Services (“Promotional Credits”). Promotional Credits will not be applied against any sales, use, gross receipts, or similar transaction-based taxes that may be applicable to Customer.
(c) Collective Reference. Usage Credits, Promotional Credits, and any other credits the Company may offer are collectively referred to herein as “Credits.”
2. Purchase and Payment
(a) All Sales Final. All purchases of Credits are final. Credits are non-refundable except where required by applicable law.
(b) Payment. Customer shall provide complete and accurate billing information, including a valid payment method. Customer authorizes the Company to charge the designated payment method for the applicable fees and taxes associated with the purchase of Credits.
(c) Taxes. Credit purchases are exclusive of all applicable taxes, duties, and levies. Customer is responsible for all taxes associated with the purchase of Credits, except for taxes based on the Company’s net income.
3. Expiration
(a) Usage Credits. Usage Credits expire twelve (12) months from the date the Company sends the Confirmation Notice or otherwise issues the Credits, unless a different expiration period is specified at the time of purchase.
(b) Promotional Credits. Promotional Credits expire at the time indicated when issued. If no expiration date is specified at the time of issuance, Promotional Credits expire twelve (12) months from the date of issuance.
(c) Account Closure. All Credits will automatically expire if Customer closes its account with the Company and cannot be recovered.
(d) Priority of Use. Promotional Credits will be consumed before Usage Credits. Among Credits of the same type, those with the earliest expiration date will be consumed first.
4. Use of Credits
(a) Redemption. Credits may be applied solely toward the purchase of the Company’s Services as described in the applicable pricing page. Credits will be deducted from Customer’s balance based on actual usage of the Services in accordance with applicable rates.
(b) No Cash Value. Credits are not legal tender or currency of any kind, have no cash value, and do not constitute a bank account, digital wallet, stored value account, or any other payment instrument.
(c) Balance Verification. Customer’s available Credit balance may be reviewed in Customer’s account dashboard. Customer is solely responsible for verifying that the proper amount of Credits has been added to or deducted from its balance.
5. Restrictions
(a) No Transfer. Customer may not transfer, sell, gift, trade, assign, or otherwise convey Credits to any other person or entity. Credits may only be used by the holder of the account to which the Credits are associated.
(b) Prohibited Activity. The Company prohibits and does not recognize any purported transfers, sales, gifts, or trades of Credits. Any attempt to use, sell, or transfer Credits in any unauthorized manner violates these Credit Terms and may result in revocation, termination, or cancellation of the Credits and/or Customer’s use of the Services without refund and/or immediate suspension of Customer’s account.
(c) Disputed Payments. If a payment is disputed or refunded, Credits equivalent to the disputed or refunded amount will be removed from Customer’s account. The Company reserves the right to suspend Services until any disputed amounts are resolved.
6. Suspension and Termination
The Company reserves the right to suspend or terminate Customer’s use of the Services, including suspending or terminating Customer’s Credit balance, in accordance with the Agreement and in compliance with applicable law. Without limiting the foregoing, the Company may suspend or revoke Credits if it determines, in its reasonable discretion, that:
(i) Customer has violated these Credit Terms or the Agreement;
(ii) Customer’s use of the Services could cause risk or harm to the Company, its users, or any third party;
(iii) The Company is required to do so by applicable law or regulation; or
(iv) Customer’s account reflects fraudulent or unauthorized activity.
7. Modifications
The Company may modify these Credit Terms at any time by posting a revised version on its website or by sending notice to the email address associated with Customer’s account. The modified Credit Terms will become effective upon posting or, if the Company notifies Customer by email, as stated in the email message. By receiving or using any Credits after the effective date of any modification, Customer agrees to be bound by the modified Credit Terms.
