Inworld Voice Library Addendum

This Voice Library Addendum (this "Addendum") supplements the Inworld Terms of Service currently found at www.inworld.ai/terms (the "Terms of Service") and, together with the Terms of Service, governs your use of the Inworld Voice Library Service, including the sharing of Community Voices on or through the Voice Library Service. Your use of the Voice Library Service is also subject to the Inworld Acceptable Use Policy and the Inworld Privacy Policy (www.inworld.ai/privacy). Capitalized terms used and not defined in this Addendum have the meanings given in the Terms of Service.
If you do not agree with this Addendum, you may not use the Voice Library Service or make any Community Voices available through it.

1. Content on the Voice Library

The Voice Library Service makes available Inworld Voice Models, provided by Inworld, and Community Voices, provided by Inworld users (including you) through the Service. By making a Community Voices available on the Voice Library, you authorize Inworld and other Inworld users to access and use that model in accordance with this Addendum.

2. Sharing Community Voices

You may share Community Voices you have created on the Service. If you choose to do so, you grant Inworld a worldwide, royalty-free, sublicensable license to host, reproduce, distribute, publicly display, and otherwise make available the Community Voices through the Voice Library Service and within Inworld's products (including the Inworld TTS API, the Inworld Playground, and Inworld's character and agent platforms), and to sublicense those rights to other Inworld users to generate audio outputs ("Outputs") using the Community Voices in accordance with the Terms of Service and this Addendum (the "Voice Library License").
For clarity, other Inworld users may generate Outputs using the Community Voices you share. Outputs generated by other users belong to those users under the Terms of Service, subject to Inworld's rights. The sharing options available through the Voice Library Service are described on the Inworld website (the "Options"). Inworld may update, discontinue, or terminate Options from time to time.

3. Eligibility & Conditions

As a condition of making any Community Voices available through the Voice Library Service, you represent, warrant, and agree that, both when you first share the Community Voices and on a continuing basis while it remains shared, each of the following is true:
(a) Voice ownership. Each Community Voices you share is either (i) a voice you designed using Inworld's Text-to-Voice Design ("TVD") feature that does not reproduce, simulate, or imitate the voice of any identifiable real person, or (ii) a clone of your own natural voice created using Inworld's voice cloning tools.
You must not share a Community Voices that is, or that is materially based on, the voice of another person (including a celebrity, public figure, fictional character associated with a real performer, a minor, or any identifiable third party), an altered version of such a voice, or any voice for which you do not hold the rights and releases required for the use authorized by this Addendum.
(b) Jurisdictional eligibility — Illinois. You represent that you are not a resident of, and are not physically located in, the State of Illinois. If you become a resident of or relocate to Illinois, you must notify Inworld and remove your Community Voices from the Voice Library Service.
(c) Rights and permissions. You have all rights, licenses, consents, and releases required to grant the Voice Library License and to authorize Inworld and other Inworld users to use the Community Voices as contemplated by this Addendum.
(d) Compliance. You will use the Voice Library Service and the Service generally in full compliance with the Terms of Service, the Acceptable Use Policy, and other Inworld policies.
(e) Biometric data consent. You acknowledge that a Community Voices created from a recording of your natural voice may be processed by Inworld and others as a biometric identifier or biometric information under applicable law. You expressly consent to Inworld's collection, storage, use, and disclosure of such biometric identifier or biometric information for the purposes of: (i) operating, providing, and improving the Voice Library Service; (ii) making the Community Voices available through the Voice Library and through the Inworld products described in Section 2; (iii) generating Outputs requested by you or by other Inworld users; and (iv) complying with law and enforcing Inworld's rights. You acknowledge that this consent supplements the general consents in the Terms of Service and Privacy Policy and is specific to the disclosures authorized by this Addendum.

4. Sharing Options

The following settings and options apply to your sharing of Community Voices in the Voice Library.
(a) Notice Period. When you share a Community Voices, you must select a "Notice Period" from the options Inworld makes available (currently 2 years). You may remove a Community Voices from the Voice Library Service at any time. However:
  • any Outputs already generated using the Community Voices will continue to exist and remain available for use; and
  • the Community Voices will remain available for the Notice Period to users who added the Community Voices to their account before you removed it.
You may not decrease your Notice Period after the Community Voices has been shared.
(b) Live Moderation on Outputs. Inworld may, but does not guarantee that it will, apply automated screening tools to requests submitted to generate Outputs using Community Voices. These tools may, but are not guaranteed to, block requests that contain text falling into prohibited categories (including impersonation, fraud, harassment, sexual content involving minors, and content prohibited by the Acceptable Use Policy).
(c) Use across Inworld products. Community Voices may be made available through Inworld's other products and services. Where Outputs are generated by other Inworld users on a paid tier, those uses are governed by the applicable subscription terms. Use of Inworld of such voices is governed by the license found in the Terms of Service.

5. Removal and Moderation by Inworld

Inworld may, in its sole discretion and at any time, with or without notice to you: (i) remove any Community Voices from the Voice Library Service; (ii) modify the name, description, or metadata associated with a Community Voices; (iii) suspend or restrict the availability of a Community Voices to certain users, products, or geographies; and (iv) take other actions Inworld considers necessary to enforce this Addendum or applicable law.
Removal by Inworld for cause (including violation of Terms of Service, Privacy Policy, this Addendum, the Acceptable Use Policy, or applicable law) is immediate and is not subject to any Notice Period.

6. Personal Data

Inworld's collection, use, and disclosure of your personal data, including any biometric identifier or biometric information derived from your voice recordings, is described in the Inworld Privacy Policy and is subject to the consents you provide. Nothing in this Addendum waives or limits any rights or protections under applicable personal data protection or privacy laws.

7. Termination

You may terminate your participation in the Voice Library Service at any time by removing your Community Voices from the Voice Library Service or by deleting your account, in each case subject to the Notice Period in Section 4(a). Inworld may suspend or terminate your participation in the Voice Library Service in accordance with the Terms of Service or as set out in Section 5 of this Addendum.
Termination does not affect rights or licenses that accrued before termination, including (i) the existence and continued use of Outputs generated before termination and (ii) the Voice Library License with respect to use within any applicable Notice Period.

8. Other Terms

(a) Royalty waiver. By sharing a Community Voices, you agree that, to the fullest extent permitted by applicable law, Inworld and all other users of the Service have discharged any obligation, present or future, to pay royalties, equitable remuneration, or equivalent amounts for use of the Community Voices or Outputs derived from it. Inworld's sole obligation and liability for any use of your Community Voices authorized under this Addendum is to pay any amounts owed to you under a financial-rewards program if and when Inworld introduces one.
(b) Creator indemnity. You will defend, indemnify, and hold harmless Inworld and its affiliates from and against any third-party claim arising out of or related to (i) your breach of the representations and warranties in Section 3, (ii) your sharing of a Community Voices without the rights and releases required, or (iii) Outputs generated by you using a Community Voices that violate the Acceptable Use Policy or applicable law. This indemnity is subject to the limitations of liability in the Terms of Service.
(c) Good faith. You agree to cooperate with Inworld in good faith with respect to your participation in the Voice Library Service.
(d) No employment. You are not an employee, partner, or agent of Inworld. Your participation in the Voice Library Service does not create any such relationship.
(e) No earnings guarantee. Inworld makes no guarantee of engagement with or use of your Community Voices by other users.
(f) Updates. Inworld may update this Addendum from time to time. Updates take effect when posted. If the changes are material, Inworld will provide reasonable advance notice through the Service.
(g) Governing law and dispute resolution. This Addendum is governed by the law and dispute resolution provisions of the Terms of Service.
